Guzman y Gomez (ASX: GYG) chair Guy Russo has sold 1,394,250 GYG shares at A$25.50 each, raising about A$35.6 million. The off-market block trade took place on Tuesday 13 October 2026 and was announced to the ASX at 9:55 am on Wednesday, just before the market opened.
What Russo sold
According to GYG’s announcement and his Change of Director’s Interest Notice (Appendix 3Y), Russo sold:
- 1,000,000 shares held directly
- 394,250 shares held through his superannuation fund, which was its entire GYG holding
His total holding fell from 6,084,500 shares to 4,690,250 shares, meaning he sold about 23% of his stake. He also lodged a notice that he has ceased to be a substantial holder in GYG.
Why he says he sold
GYG said the sale was for personal financial planning and was made under the company’s securities trading policy.
Russo said he retains full confidence in GYG’s long-term strategy and that his commitment as chair is unchanged. He added that he intends to remain a significant long-term shareholder. Russo has been invested in GYG for about 17 years, has been a director since 2009 and has been chair since 2018.
How GYG shares reacted
GYG shares fell as much as 7.0% to A$25.02 shortly after the open on Wednesday and were down 3.8% at A$25.86 by mid-morning, according to Market Index. The A$25.50 sale price was below Tuesday’s close, a discount that is common in block trades.
Who is buying while the chair sells
The sale comes as other big holders have been adding to GYG:
- Pinnacle Investment Management lifted its stake from 13.80% to 14.85% on 8 October, according to a substantial holder notice
- First Sentier Group became a substantial holder with 5.10% on the same day
- GYG itself is buying back shares under an up to A$100 million program, which it recently extended to October 2027 after reporting an 18.8% rise in Q1 network sales to A$387.5 million
How to read a chair’s share sale
Not every insider sale is a warning sign. Russo sold less than a quarter of his holding, gave a personal reason and still holds 4.69 million shares, worth roughly A$120 million at the sale price.
A full exit or a string of sales by several directors would send a stronger signal. Our Megaport insider trading analysis explains why the size and type of a director’s trade matter more than the headline number.
What GYG investors should watch
- Further Appendix 3Y notices from Russo or other GYG directors
- Buy-back notices, to see whether GYG steps up purchases after the fall
- Substantial holder notices from funds such as Pinnacle and First Sentier
- The AGM, where investors may ask the board about the sale
Bottom line
Guy Russo has sold about 23% of his GYG shares for A$35.6 million but remains a major long-term shareholder. With the company buying back stock and large funds adding to their positions, the sale looks more like personal financial planning than a loss of confidence. Any further director selling is the key thing to watch.
