Two of the most senior executives at Applied Digital (NASDAQ:APLD) bought US$6.7 million of APLD stock on Friday, 16 October 2026, the same day the shares hit a 52-week low. Since then, the AI data centre developer has bounced, putting both buyers in profit within days.

What the Form 4 filings show

Insider Role Shares Avg price Value
Jason Zhang President 300,000 US$18.86 ~US$5.66M
Wes Cummins CEO and chairman 55,803 US$18.04 ~US$1.01M

Both were reported as open-market purchases. Cummins’ Form 4 codes his trade “P” for purchase and shows no Rule 10b5-1 trading plan, meaning it was not a pre-scheduled trade.

After the purchases:

  • Zhang holds 2,839,227 shares, including 1.25 million restricted stock units, according to Investing.com
  • Cummins holds 5,874,453 shares directly and another 17,603,036 indirectly, mostly through Cummins Family Ltd, about 23.5 million in total

They bought into a sell-off

On 16 October, Applied Digital shares fell 11.5% to close at US$18.05 after touching a 52-week low of US$17.65, according to IBTimes. The stock lost about 22% that week and is roughly 64% below its 52-week high of about US$50.73.

The sell-off hit AI data centre developers that borrow heavily to build capacity, as investors scrutinised financing costs and higher interest rates. Applied Digital carries about US$6.4 billion of debt, according to IBTimes.

The shares have bounced since

Applied Digital rose more than 6% on Monday after the purchases were disclosed. On Wednesday 21 October it was up about 7% at around US$20.77, according to Benzinga, after it agreed to form a joint venture with Soluna Holdings for a 50 megawatt AI data centre in Texas, with Applied Digital holding 51%. Roth Capital also reinstated coverage with a buy rating and a US$35 price target.

At about US$20.77, Zhang is roughly 10% ahead on his purchase and Cummins about 15%.

Why this insider buying matters

Executives often receive shares as pay, so open-market buying with their own money stands out. Two senior insiders buying more than US$6 million on the day of a 52-week low is a strong signal of confidence, though it is not a guarantee.

Compare this with Fermi, where a co-founder sold US$14.4 million of stock after a crash, or GameStop, where CEO Ryan Cohen keeps buying.

What APLD investors should watch

  • More Form 4 filings from directors or executives
  • Financing deals, given the company’s debt load
  • The Soluna joint venture and new tenant leases
  • AI infrastructure sentiment, which drives big swings in the stock

Bottom line

Applied Digital’s CEO and president bought heavily at the bottom of a sharp sell-off, and the stock has already rebounded. With high debt and a volatile sector, investors will be watching whether more insiders follow.
